  1. Acceptance of Terms. By accessing or using serenamhayes.com (the “Site”), you agree to be bound by these Terms and Conditions. If you do not agree, please do not use the Site.

    These Terms apply to all visitors, inquirers, and clients of Serena M. Hayes Consulting, LLC (“we,” “our,” or “us”).

  2. Services. Serena M. Hayes Consulting, LLC provides executive coaching and organizational development consulting services. Information on the Site describes the nature of these services but does not constitute a binding offer or contract.

    Engagement of services is formalized through a separate written agreement between Serena M. Hayes Consulting, LLC, and the client. No coaching or consulting relationship is established merely by submitting an inquiry through this Site.

  3. Not Legal Advice. While Serena M. Hayes holds a Juris Doctor degree and is a member of the Maryland Bar, the services provided through Serena M. Hayes Consulting, LLC are exclusively coaching and consulting services. They do not constitute legal advice or legal services of any kind. No attorney-client relationship is formed by using this Site, submitting an inquiry, or engaging our services, and the confidentiality protections associated with the attorney-client relationship do not apply. If you require legal advice, please consult a licensed attorney.

  4. Payment Terms. Payments for services rendered by Serena M. Hayes Consulting, LLC are accepted via credit card and ACH bank transfer. Invoicing is processed through QuickBooks. Specific payment terms, schedules, and structures are governed by the individual client service agreement executed between Serena M. Hayes Consulting, LLC, and the client.

  5. Complimentary Calls. The Strategy & Alignment Call (45 minutes, for executive coaching inquiries) and the Fit Conversation (15–20 minutes, for organizational consulting inquiries) are complimentary and do not obligate either party to enter into a service agreement.

  6. Intellectual Property. The original written content, logo, wordmark, and overall design of this Site are the property of Serena M. Hayes Consulting, LLC and are protected by applicable copyright and intellectual property laws. You may not reproduce, distribute, modify, or use this content without our express written permission.

    Certain images used on this Site are licensed from third-party stock photography providers. These images remain the property of their respective owners and are used in accordance with applicable licensing agreements. They are not available for reproduction or reuse.

  7. Testimonials and Results. Testimonials and client results described on this Site reflect individual experiences and are not guarantees of future outcomes. Coaching and consulting results vary based on individual circumstances, effort, and commitment.

  8. Third-Party Links. The Site may contain links to third-party websites. We are not responsible for the content, privacy practices, or accuracy of any third-party sites. Links do not constitute endorsement.

  9. Limitation of Liability. To the fullest extent permitted by D.C. law, Serena M. Hayes Consulting, LLC shall not be liable for any indirect, incidental, or consequential damages arising from your use of this Site. This limitation does not apply to gross negligence, fraud, or willful misconduct.

  10. Indemnification. You agree to defend, indemnify, and hold harmless Serena M. Hayes Consulting, LLC, its officers, employees, agents, successors, and assigns (collectively, the "Indemnified Parties") from and against any and all claims, actions, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

    • Your use of or access to this Site

    • Your violation of any provision of these Terms and Conditions

    • Your violation of any applicable law, regulation, or third-party right

    • Any misrepresentation made by you in connection with your use of this Site or engagement of our services

    Notwithstanding the above, this indemnification obligation shall not apply to the extent that any claim arises from the gross negligence, willful misconduct, or fraud of the Indemnified Parties.

    Upon becoming aware of any claim subject to indemnification under this section, Serena M. Hayes Consulting, LLC shall provide you with prompt written notice of such claim. You shall cooperate reasonably in the defense of any such claim at your own expense. Serena M. Hayes Consulting, LLC reserves the right to assume exclusive control of the defense of any claim at its own expense.

  11. Governing Law. These Terms and Conditions are governed by the laws of the District of Columbia, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of the District of Columbia.

  12. Dispute Resolution. Any dispute arising from the use of this Site shall be governed by the laws of the District of Columbia. Disputes arising from specific service engagements are governed by the terms of the applicable client service agreement.

  13. Changes to These Terms. We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of the Site after changes constitutes acceptance of the revised Terms.
